Our Governance


Geelong Sustainability is governed by a Board of Directors inline with the requirements of the rules of our incorporated association. Our Board consists of seven Directors from professional backgrounds each with extensive expertise in governance, strategy, risk management and subject matter expertise. The Board is supported by our Chief Executive Officer and Executive Staff who drive the delivery of our strategy and are responsible for the day-to-day operations of the organisation. Meet Our Team.

The Geelong Sustainability Board uses Australian Institute of Company Directors (AICD) and the Australian Charities and Not-for-profits Commission (ACNC) best practice principles and advice. In doing so, the Board maintains a strong focus on governance, risk, strategy and finance.

The Board conducts an annual appraisal of its performance with reference to its roles and responsibilities. To achieve good governance standards, the Board uses a skills matrix to purposefully recruit Board Directors to ensure key competencies in areas such as policy, strategy, finance, legal, fundraising, risk, communications and engagement.

To assist the Board in fulfilling its roles, several subcommittees have been established to develop advice and options for consideration by the Board. These subcommittees are:

  • Governance Subcommittee
  • Audit, Finance and Risk Subcommittee
  • Registered Environmental Organisation Public Fund Subcommittee

Each year the Board of Management is elected by Geelong Sustainability Members at the Annual General Meeting (AGM), usually held in November.

Rules of the Association

Geelong Sustainability is an Incorporated Association, a Deductible Gift Recipient (DGR) and a registered Charity.

The organisation is governed in accordance with the Rules of the Association.
